4. Payment Terms

- All fees are exclusive of applicable taxes
4.2 Refunds

Upon full payment, clients will own the custom code and assets developed specifically for their project, excluding our proprietary tools, frameworks, and methodologies.

We retain ownership of:

- General methodologies and know-how
- Pre-existing intellectual property
- The right to use project experience for future development
5.3 Third-Party Components
Any third-party components used in projects remain subject to their respective licenses. Clients are responsible for compliance with such licenses.
6. Confidentiality
We understand the importance of confidentiality in business relationships. We commit to:
- Maintaining strict confidentiality of client information
- Using client information only for project delivery

- Not disclosing confidential information to third parties
This obligation continues beyond the completion of services.
7. Warranties and Disclaimers

We cannot guarantee future compatibility with browser updates or changes to browser APIs. Maintenance services are available to address such changes.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR LIABILITY IS LIMITED TO THE FEES PAID FOR THE SPECIFIC SERVICE
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
- CLIENT USE OF DELIVERED EXTENSIONS IS AT THEIR OWN RISK
9. Termination
9.1 Termination Rights
Either party may terminate a service agreement:
- For material breach that remains uncured for 30 days after notice
- For insolvency or bankruptcy of the other party
- By mutual written agreement
9.2 Effect of Termination
Upon termination:
- Payment is due for all work completed
- Each party retains their respective intellectual property
- Confidentiality obligations survive termination
10. Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, government actions, pandemics, or internet/infrastructure failures.
11. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved through:
- Good faith negotiations
- Mediation if negotiations fail
- Arbitration or court proceedings in England and Wales
12. General Provisions
12.1 Entire Agreement
These Terms, together with any service agreements, constitute the entire agreement between the parties and supersede all prior understandings.

We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services constitutes acceptance of updated Terms.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
